What you need to know about searching for and securing assets outside of the United States
Knowing what types of laws similar to the Uniform Commercial Code Article 9 exist in countries outside the United States and how to search for secured assets as well as the processes to secure assets in those countries is critical to protecting assets and interests in today’s global economy. Although the UCC Article 9 exists only in the United States as a matter of law, many other jurisdictions outside the U.S. have laws similar to UCC Article 9. Where to look, private versus public, and common law versus civil law are all questions that warrant careful consideration when transacting business abroad. It is also important to understand international judgments and tax lien equivalents to ensure proper search techniques and that searches comply with local privacy laws. Montana Annual Reports Must Be Filed by Sept. 1.

Starting Sept. 1, the state of Montana will begin revocation of authority and dissolution proceedings against corporations and limited liability companies that have not filed their 2010 Annual Reports. State law requires all businesses operating in the State of Montana to file an Annual Report with the Secretary of State's office.

Florida Supreme Court Issues Opinion on Single-Member LLCs

California's Regional Office in San Diego to Close

The California Secretary of State’s office will close its San Diego regional office on April 2. You may continue to mail documents to Sacramento or deliver them in person at 1500 11th Street, Sacramento, CA 95814. The Los Angeles office, located at 300 South Spring Street, in downtown Los Angeles, will continue to provide services that were previously offered at the San Diego location. Oregon Corporation Division Fee Increases

Starting March 1, filing fees for Oregon businesses will increase from $50 to $100. Out of state business fees will increase from $50 to $275. Fees for filing UCC financing statements will increase by $5. The application fee to be a notary public will increase from $20 to $40.

USA Patriot Act Search

The Office of Foreign Assets Control (OFAC) has issued a regulation requiring companies engaged in business transactions to compare the names of individuals, companies and countries against a specialty designated nationals and blocked persons list (SDN). This regulation became effective in October 2004.
